Purpose:

Newfoundland and Labrador Housing Corporation (NLHC) is a provincial crown corporation operating under the authority of the Housing Corporation Act, and is responsible for the implementation of government’s overall public housing policy and programs. The Corporation operates and maintains 5590 social housing units and provides rental supplements for low-income clients in an additional 1750 privately owned homes and apartments.

NLHC also develops and delivers a number of other housing related programs designed to address health and safety, accessibility and energy efficiency issues for low-income homeowners in the province.

NLHC works closely and in partnership with community and other social advocacy groups to meet the varied housing needs and enhance the quality of life of our mutual clients.

Structure:

In accordance with Act, an independent Board of Directors is appointed at pleasure by the Lieutenant-Governor in Council and reports to the Government of Newfoundland and Labrador through the Minister Responsible for Newfoundland and Labrador Housing Corporation. It is comprised of not less than five and not more than 11 members, with at least one member representing persons with disabilities. The Lieutenant-Governor in Council may appoint one of the members to be Chairperson and another to be Vice-Chairperson. Members are appointed for a term of three years with an option for reappointment for a second term of three years.

The Board is charged with the governance and oversight of the business of the Corporation and ensures the mandate of delivering social housing programs and policies is fulfilled and management’s responsibilities for financial reporting and internal controls are exercised. 

Though not required by legislation, the Board of Directors should reflect gender and regional representation of the province’s population.

Regular members of the Board of Directors shall be assigned by the Chairperson to one of these two sub-committees:

1. Policy and Planning Committee
2. Finance and Audit Committee

Competency Profile:

The Board should collectively possess the following core competencies:

• high ethical standards and integrity
• general appreciation of housing related issues impacting low-to-moderate income individuals and those with complex service needs
• strong leadership, reasoning and decision making skills
• no direct or indirect conflict of interest
• proficiency working in a confidential team oriented environment
• appreciation of the responsibilities to the public and government

Qualifications:

The Board of Directors as a whole shall possess and/or demonstrate the following:

• experience in strategic management and organizational development
• experience as an employer or senior manager, preferably in an organized labour environment
• at least one member shall have a professional financial designation
• at least one member shall have knowledge and experience in civil engineering or residential construction and renovation
• at least one member shall have experience serving on a board of a non-profit organization
• knowledge of operational and policy audit techniques and reporting
• knowledge of public policy development and implementation
• experience as a member of a Board representative of multiple stakeholders (asset)

Time Commitments:

Though not required by legislation, both the full Board of Directors and the two sub-committees would normally meet four times in a calendar year with additional meetings called at the pleasure of the Chairperson. Board members are expected to review materials and documents in preparation for Board and sub-committee meetings.

Vacancy Profile:

The Newfoundland and Labrador Housing Corporation is seeking to fill six positions on the Board of Directors. Expressions of interest are being sought from individuals who possess the experience and qualifications identified in the board profile. Consideration will be given to a variety of demographic factors to ensure the board is representative of the population they serve.
